1. Agreement and Contracting Party

These Terms of Use govern your access to Proficiam, including our website, diagnostic, readiness estimates, study-result logging, weekly planning and review, account, billing, and support features.

By creating an account, starting a subscription, clicking to accept, or using the service, you agree to these terms and our Privacy Policy.

'Proficiam' is a trading name. 'Proficiam', 'we', and 'us' mean the company identified in the 'Who you are contracting with' block at the top of this page. That company is the supplier of the service and the party you contract with, and it is the name that will appear on your payment statement. Formal notices may be sent to contact@proficiam.com.

If you use Proficiam on behalf of another person, company, employer, school, or organization, you confirm you have authority to bind that person or organization and that they will comply with these terms.

2. Eligibility

You must be at least 18 years old, or the age of majority in your jurisdiction if higher, to create a paid account or start a subscription.

You must provide accurate account and billing information and keep it up to date.

We may refuse, suspend, or terminate access where we reasonably believe the service is being used unlawfully, fraudulently, in breach of these terms, or in a way that creates legal, security, payment, or operational risk.

3. Educational Service Only

Proficiam provides educational planning tools for exam preparation. Readiness scores and estimates, topic-readiness estimates, study plans, and recommendations are guidance tools, not guarantees of exam performance.

Proficiam does not provide investment, legal, tax, accounting, employment, or professional advice.

Proficiam is independent of the CFA Institute. CFA Institute does not endorse, promote, review, or warrant the accuracy or quality of Proficiam's products or services. CFA Institute, CFA, and Chartered Financial Analyst are trademarks owned by CFA Institute.

4. Accounts and Security

You must provide accurate account information and keep your login credentials secure.

Your account is personal to you. You may not share, sell, transfer, or allow others to use your account.

You are responsible for activity under your account unless it results from our failure to apply reasonable security controls.

Contact us promptly at contact@proficiam.com if you suspect unauthorized access. We may require password resets, email verification, or other security steps before restoring access.

5. Subscriptions, Billing, and Auto-Renewal

Paid plans provide access to subscribed features for the plan period, price, renewal frequency, and included features shown at checkout. Prices are shown before purchase and may vary by plan, currency, tax treatment, promotion, or region.

Monthly plans and exam-cycle bundle plans are subscription products unless checkout clearly states otherwise. They renew automatically at the end of the then-current billing period until cancelled through the billing portal or another cancellation method we make available.

By starting a subscription, you authorize Proficiam and Stripe to charge your payment method for recurring subscription fees, renewal fees, applicable taxes, and any charges you authorize at checkout.

Payments are processed by Stripe. Stripe may require you to accept its checkout, payment, billing portal, or payment-method terms. Proficiam does not store full card numbers or full payment credentials.

You are responsible for applicable taxes, bank fees, currency conversion charges, or payment-method fees unless stated otherwise at checkout.

If payment fails, a subscription is disputed, a chargeback is opened, or a subscription enters a recoverable billing status, we may limit or suspend paid access until billing is resolved.

6. Cancellation, Cooling-Off Rights, and Refunds

You can cancel future renewals through your account billing controls, the Stripe billing portal, or by contacting contact@proficiam.com. This is standard subscription cancellation: it stops future billing but does not automatically delete your account or historical data.

Unless required by law or stated at checkout, cancellation takes effect at the end of the current paid period and access continues until that period ends. We do not provide automatic pro-rated refunds for unused time unless required by applicable law.

If you are a consumer in the United Kingdom, European Union, European Economic Area, or another jurisdiction with applicable statutory cooling-off rights, you may have a legal right to cancel within 14 days of the contract being formed. To exercise that right, contact contact@proficiam.com with a clear statement that you are cancelling under your statutory cooling-off right.

At checkout we ask you to confirm two things separately: that you understand the amount and interval of the recurring charge, and that you expressly ask us to begin supplying Proficiam during the 14-day cancellation period. We record both confirmations with the date, the price and renewal interval shown to you, and the terms in force at that time.

If you exercise an applicable statutory cooling-off right, the contract and paid access end when that cancellation takes effect. Where you asked us to begin the service during the cancellation period, any refund due may be reduced by a reasonable amount in proportion to the service supplied before you cancelled. We will provide any refund required by law within the applicable statutory timeframe. The cancellation right ends early only if the service has been fully performed during that period after your express request and acknowledgement. Nothing in this wording affects rights relating to faulty, misdescribed, or non-conforming services or digital content.

Nothing in these terms removes mandatory consumer rights that cannot be excluded.

Refunds are considered case by case for duplicate charges, material service failure, accidental purchases, or where required by applicable law. Contact contact@proficiam.com with the account email, charge date, plan, and reason for the request.

If a refund is approved, access to paid features may end immediately or at the end of the refunded period. If Stripe, a bank, card issuer, or payment network reverses a charge, we may suspend or adjust access to reflect the reversal.

7. Acceptable Use

You may not misuse Proficiam, interfere with the service, bypass access controls, probe or attack security, scrape or bulk-export content without permission, reverse engineer non-public systems, overload infrastructure, or use the service to build or train a competing product.

You may not upload unlawful, harmful, infringing, deceptive, defamatory, abusive, privacy-invasive, security-sensitive, malicious, or misleading material.

You may not share platform output in a way that misrepresents Proficiam, violates another person's rights, discloses confidential or proprietary third-party content, or suggests guaranteed exam outcomes.

You may not use Proficiam in violation of sanctions, export-control, anti-bribery, consumer protection, data protection, payment, or other applicable laws.

8. Content and Intellectual Property

Proficiam, including its software, interface, diagnostics, readiness models, study-plan logic, text, design, branding, and generated platform structure, is owned by Proficiam or its licensors.

You retain rights to personal information, study inputs, logged results, and other content you provide. You grant Proficiam a worldwide, non-exclusive, royalty-free licence to host, process, transmit, display, analyze, secure, back up, and otherwise use that content as needed to operate, personalize, support, protect, and improve the service.

Subject to these terms, you may use Proficiam outputs for your personal exam preparation. You may not resell, redistribute, sublicense, publish at scale, commercialize, or use platform outputs to create a competing product without written permission.

Feedback, suggestions, ideas, or improvement requests you provide may be used by Proficiam without restriction or compensation, provided we do not publicly identify you without permission.

9. Third-Party Study Materials and CFA Content Boundary

Proficiam is designed to work alongside materials you already use. It does not provide an official CFA curriculum, proprietary question bank, flashcard set, notes platform, or exam content library.

You must not upload, copy, paste, or store official CFA exam questions, proprietary prep-provider questions, copyrighted curriculum text, confidential materials, or other third-party content unless you have the legal right to do so.

When logging a study result, use details such as source label, topic, question count, correct count, accuracy, confidence, and notes about your own performance. Do not store copyrighted question text or proprietary explanations in Proficiam.

CFA Institute and any third-party prep providers are not responsible for Proficiam and do not endorse Proficiam unless expressly stated in writing.

10. Data, Retention, Deletion, and Export

Our Privacy Policy explains how we collect, use, share, retain, delete, and export data.

You may request account deletion or a data export by contacting contact@proficiam.com. Some data may be retained where needed for security, legal compliance, billing, fraud prevention, or dispute resolution.

Deleting your account may remove access to diagnostics, topic-readiness history, study-action history, logged results, weekly reviews, readiness estimates, subscription-linked account features, and other historical outputs.

If you have an active or recoverable subscription, we may require you to cancel or resolve billing before account deletion, unless applicable law requires otherwise.

11. Support and Availability

We aim to keep Proficiam reliable and useful, but the service may be unavailable during maintenance, incidents, provider outages, migrations, or events outside our control.

Support is provided through contact@proficiam.com unless another support channel is offered in the product. We do not guarantee a particular response time, uptime percentage, restoration time, or support outcome unless separately agreed in writing.

We may modify, suspend, replace, or discontinue features where needed for security, reliability, legal compliance, product improvement, or business reasons.

12. Changes to the Service, Plans, Prices, or Terms

We may update features, plans, prices, policies, or these terms as the service evolves. Material changes will be posted in the service or otherwise communicated where appropriate.

Price changes for recurring subscriptions will apply only as permitted by applicable law and the payment platform rules. Where required, we will provide advance notice and an opportunity to cancel before the changed price applies.

Your continued use after the effective date of updated terms means you accept the updated terms, except where applicable law requires a different acceptance process.

13. Suspension and Termination

We may suspend or terminate access if you breach these terms, create security or legal risk, fail to pay, misuse the service, or if continuing service would expose Proficiam or users to material harm.

We may also suspend access while investigating suspected abuse, fraud, account compromise, payment disputes, or unlawful activity.

You may stop using Proficiam at any time. Subscription cancellation, account deletion, and data-retention handling are described above and in the Privacy Policy.

Termination does not affect rights, obligations, or liabilities that arose before termination, including payment obligations, intellectual-property restrictions, disclaimers, liability limits, and dispute terms.

14. Statutory Consumer Rights

Nothing in these terms limits or excludes rights that cannot be limited or excluded under applicable consumer, digital content, payment, data protection, or unfair contract laws.

If you are a consumer, you may have statutory rights if digital content or digital services are not supplied with reasonable care and skill, are not as described, or do not meet legal quality standards.

Where mandatory law gives you stronger rights than these terms, the mandatory law applies to the extent of the conflict.

15. Disclaimers

Proficiam is provided on an 'as is' and 'as available' basis to the fullest extent permitted by law.

We do not guarantee that the service will be uninterrupted, error-free, secure, compatible with every device or browser, or available in every location.

We do not guarantee that any diagnostic, readiness estimate, score, recommendation, weekly review, plan adjustment, or study plan will produce a specific exam result, admission result, employment result, financial outcome, or professional outcome.

You are responsible for your own study decisions, exam registration, exam eligibility, use of third-party materials, and compliance with exam-provider rules.

16. Liability

To the fullest extent permitted by law, Proficiam will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, lost profits, lost data, exam outcomes, or reliance on educational outputs.

To the fullest extent permitted by law, Proficiam's total liability for claims related to the service will be limited to the greater of the amount you paid to Proficiam in the 12 months before the event giving rise to the claim or USD 100.

Nothing in these terms limits liability for death or personal injury caused by negligence, fraud, fraudulent misrepresentation, willful misconduct, gross negligence where it cannot be excluded, or any other liability that cannot legally be limited.

If you use Proficiam as a consumer, these limits apply only to the extent permitted by mandatory consumer law. In particular, they do not exclude our liability for loss or damage that is a foreseeable result of our breach of these terms or of our failure to use reasonable care and skill.

17. Indemnity

If you use Proficiam on behalf of a business or organization, that business or organization will indemnify Proficiam against claims, losses, liabilities, damages, costs, and expenses arising from your breach of these terms, misuse of the service, unlawful content, infringement of third-party rights, or violation of law.

If you use Proficiam as a consumer, this section applies only to the extent permitted by applicable law.

18. Governing Law and Disputes

Unless mandatory law in your location provides otherwise, these terms are governed by the laws of England and Wales.

The courts of England and Wales will have exclusive jurisdiction over disputes, except that consumers may also be entitled to bring claims in the courts of the country or region where they live if mandatory consumer law gives them that right.

Before starting a formal claim, please contact contact@proficiam.com so we can try to resolve the issue informally. This does not prevent either party from seeking urgent injunctive or equitable relief where appropriate.

We will respond to complaints sent to contact@proficiam.com and, where applicable, provide information about an appropriate certified alternative dispute-resolution body. We will consider proposals for mediation or other forms of ADR in good faith.

19. Contact
